Terms of Service

For business clients · effective 21 October 2026

These terms govern the websites I build and the hosting plans I provide under the Neurabs brand to business clients ordering through neurabs.com.

1. Provider and contact

  1. The services are provided by Paweł Borkowski, a sole proprietor registered in the Polish Central Register and Information on Economic Activity (CEIDG), trading as Neurabs, ul. Dywizjonu 303 149/17, 01-470 Warsaw, Poland, tax ID (NIP) 1181788652, EU VAT ID PL1181788652, REGON 147161841 (the “Provider”).
  2. Contact: hello@neurabs.com. This address is also used for complaints, illegal-content notices and as the single point of contact for authorities and recipients of the service under Articles 11 and 12 of Regulation (EU) 2022/2065 (the Digital Services Act, “DSA”). Communication is possible in English and Polish.

2. Business clients only

  1. Services offered through neurabs.com are intended exclusively for businesses – persons and entities acting for purposes relating to their trade, business, craft or profession (the “Client”). By placing an order, the Client confirms that it acts as a business.
  2. This offer is not available to consumers. If you are a consumer, or a Polish sole trader for whom the contract has no professional character, please say so before ordering: these Terms will then not apply, and I will send you separate terms with the consumer protections required by law and prices including VAT.

3. Definitions

  1. Contract – a contract for building a Website or for a Plan, concluded under section 5.
  2. Order – the Provider’s e-mail setting out the terms of a specific Contract (scope, price, Plan, domain, dates), confirmed by the Client.
  3. Website – a website designed and built by the Provider for the Client.
  4. Plan – the hosting and care service for the Website: “Hosting”, “Hosting + domain” or “Hosting + domain + AI agent”.
  5. AI Agent – software using an artificial-intelligence model, available to the Client in the Telegram messenger, through which the Client requests changes to the Website.
  6. Fix – one consolidated list of the Client’s comments on a presented version of the Website within the agreed scope (e.g. changes to text, images, colours, order or layout of sections). New features, new subpages or changes of the agreed scope are not Fixes.

4. Services

  1. The Provider offers:
    1. design and build of a Website, with its source code and three Fixes included,
    2. Plans, i.e. hosting and care of the Website on the Provider’s server,
    3. new features and other work, priced individually and accepted by the Client.
  2. Every Plan includes hosting of the Website on the Provider’s server, an HTTPS certificate, backups (section 10.5), the updates needed to run the Website securely and an uptime guarantee (SLA, section 10). In addition:
    1. Hosting – the Client uses its own domain, pays for and keeps it with its own registrar and points it at the Provider’s server (the Provider supplies the DNS settings or, given access, sets them on request),
    2. Hosting + domain – also registration and yearly renewal of one domain under section 9,
    3. Hosting + domain + AI agent – also access to the AI Agent under section 11.
  3. Plans do not include: e-mail hosting or mailboxes (in Plans with a domain, the Provider sets the DNS records required by the Client’s e-mail provider on request), content creation (texts, photos, translations), new features, online shops, online payments, data-collecting forms or third-party integrations – unless the Order says otherwise.
  4. Websites built by the Provider are static. A Plan covers traffic typical of a small business website: up to 100 GB of data transfer per month and up to 2 GB of Website files. If these values are exceeded for two consecutive months, the Provider may propose new terms; the Client may accept them or terminate the Plan at no cost.
  5. The Provider may use tools, including AI-based tools, ready-made open-source components and subcontractors, and is responsible for them as for its own actions.

5. Contract

  1. Information and prices on neurabs.com are an invitation to make an offer, not a binding offer.
  2. The Client describes its needs by e-mail. The Provider replies with an Order with these Terms attached. The Contract is concluded when the Client confirms the Order by e-mail. The Provider may decline to conclude a Contract without giving reasons.
  3. A Contract for a Website lasts until acceptance and payment. A Plan is concluded for an indefinite period, starting on the Website’s publication date or the date in the Order.

6. Website build

  1. The Client supplies materials (texts, photos, logo, company details) by the date in the Order or, if none is given, within 14 days of the Contract. The Client checks any publicly available information about its business that the Provider uses at its request.
  2. The Provider presents the design as a working version of the Website at a test address hidden from search engines.
  3. Three Fixes are included. The Client sends each Fix within 14 days of the version it concerns being made available. Further fixes and scope changes are priced individually.
  4. The Client accepts the Website by e-mail. If, within 14 days of the final version being made available, the Client neither accepts it nor sends a Fix, the Provider asks it by e-mail to accept within a further 7 days; after that period the Website is deemed accepted.
  5. If the Client does not supply materials or respond for more than 30 days, the Provider may set an additional 14-day deadline by e-mail and, if it passes, withdraw from the Contract for the Website. The Provider is then entitled to payment for the work done, proportionally and up to the price, and may set it off against the advance.
  6. Timelines are estimates unless the Order sets a binding date; they are paused while the Provider waits for the Client’s materials or answers.
  7. The Website is published on its domain and its source code is handed over after the full price has been paid. Bugs (e.g. a broken link or a layout broken on some device) reported within 30 days of publication are fixed free of charge, in addition to the Fixes.

7. Prices, VAT and payment

  1. Prices on neurabs.com are in US dollars and exclude VAT. For Clients established in the EU outside Poland with a valid VAT number (verified in VIES), no Polish VAT is charged – the reverse charge applies. For Clients established outside the EU, no Polish VAT is charged. For Clients established in Poland, 23% VAT is added. If the Client does not provide the information needed to apply these rules, VAT is charged as required by law.
  2. The Website price is payable in two parts: a 50% advance after the Contract is concluded – work starts once it is received – and 50% after acceptance, before publication.
  3. A Plan is payable monthly in advance. The first billing period starts on the Website’s publication date; a part-month is charged pro rata.
  4. Payments are made by bank transfer to the account on the invoice within 7 days of receiving it. Bank and currency-conversion fees are borne by the Client. Invoices are issued electronically and sent by e-mail.
  5. If the Client is late with payment for a Plan, the Provider asks it by e-mail to pay within 7 days. If it does not, the Provider may suspend the Plan (the Website and the AI Agent) until payment and, 30 days after the original due date, terminate the Contract with immediate effect. Fees remain due during such a suspension and the SLA does not apply. The Provider does not renew the domain of a Client in arrears and warns it by e-mail at least 14 days before the domain expires.
  6. Late payments bear statutory interest for late payment in commercial transactions under Polish law, and the Provider is entitled to compensation for recovery costs (Act of 8 March 2013 on counteracting excessive delays in commercial transactions).
  7. The Provider may change Plan prices with at least 30 days’ notice by e-mail; the Client may terminate the Plan at no cost with effect from the date of the change.

8. Intellectual property

  1. The Client warrants that it holds the rights to the materials it supplies (texts, photos, logos, trademarks) and that their use on the Website does not infringe third-party rights. It grants the Provider a free, non-exclusive licence to use them as needed to perform the Contract – copying, processing and publishing on the Website – for the duration of the Contract.
  2. Upon payment of the full Website price, the Provider transfers to the Client the economic copyrights to the graphic design and source code of the Website created individually for the Client – to the extent the Provider holds them – in the following fields of use:
    1. recording and reproduction by any technique, including digital, permanently or temporarily, in whole or in part,
    2. storing in computer memory and networks, publishing on the internet and making available to the public so that anyone may access them at a place and time of their choosing,
    3. translation, adaptation, rearrangement and any other modification, including by third parties,
    4. distribution, including lending and rental of the original or copies.
  3. The Client may exercise and authorise derivative rights. The Provider undertakes not to exercise its moral rights in a way that restricts use of the Website; in particular, it does not require its name or brand to appear on the Website.
  4. Under Polish law (Article 53 of the Copyright Act) a transfer of economic copyrights must be made in writing. After payment the Provider sends a transfer document to be signed by hand or with a qualified electronic signature. From payment until signature – or if it is never signed – the Client uses the design and code under a free, non-exclusive licence in the fields of use in section 8.2, unlimited in territory and time, which the Provider may not terminate.
  5. The transfer does not cover:
    1. tools, scripts, configuration templates (e.g. for servers, containers and deployments), libraries and other solutions the Provider uses across projects and did not create solely for the Client – for these the Client receives a free, non-exclusive, perpetual licence as needed to use, maintain and modify the Website,
    2. open-source components and fonts, which the Client uses under their authors’ licences (e.g. MIT, SIL Open Font License) and agrees to comply with,
    3. materials of the Client or third parties (e.g. licensed photos).
  6. Parts of the Website may be created with the help of AI tools. To the extent they are not protected works, the Provider does not transfer rights it does not hold, and the Client may use them without restriction. The Provider takes due care that the Website does not infringe third-party rights.
  7. The Provider may show the Website in its portfolio and marketing (name, screenshot, link, short description). The Client may object in the Order or at any time later by e-mail; the Provider then removes this information within 14 days.
  8. The Provider retains the right to use the general knowledge and experience gained while performing the Contract.

9. Domain

  1. In the Hosting Plan the Client registers, pays for and renews its domain. The Provider is not liable for unavailability of the Website caused by expiry of the Client’s domain, changes to its settings or the actions of the Client’s registrar or DNS provider.
  2. In Plans with a domain, the Provider registers and renews yearly one domain chosen by the Client, provided that its registration or renewal costs no more than $25 net per year – this covers common endings such as .com, .eu and .pl. A more expensive domain (another ending or a so-called premium domain) is registered or renewed only if the Client pays the excess over $25 net in advance; the Provider is not obliged to register it.
  3. The Client is the registrant (holder) of the domain – it is registered in the Client’s name. The Provider manages it technically and pays for it at a registrar of its choice. The Provider does not guarantee the availability of a name and is not responsible for decisions of the registry or domain disputes; the Client ensures that the domain name does not infringe third-party rights, in particular trademarks.
  4. If the renewal cost rises above the limit in section 9.2, the Provider informs the Client by e-mail at least 30 days before renewal. The Client may pay the excess, transfer the domain or let it go; without payment the Provider does not renew it.
  5. The part of the Plan fee that covers the domain is $7 net per month (the difference between the Hosting + domain and Hosting prices). If a Plan with a domain ends less than 12 months after the domain’s last registration or renewal, the Client reimburses the uncovered part of that cost: the cost of the registration or renewal minus $7 net for every month paid since.
  6. After a Plan with a domain ends and all amounts due are paid, the Provider gives the Client the domain transfer code (authinfo) or transfers the domain to a registrar it names. The domain stays registered until the end of the paid period; the Provider does not renew it after the Plan ends.

10. Availability (SLA), backups and maintenance

  1. The Provider ensures Website availability of at least 99.5% in every calendar month. The Website is available when it responds to HTTPS requests at its address; availability is measured by the Provider with a monitoring tool outside its server.
  2. Unavailability does not include downtime caused by:
    1. maintenance announced by e-mail at least 24 hours in advance, up to 4 hours a month in total,
    2. the Client or providers it chose (e.g. its domain and DNS in the Hosting Plan) or the domain registry,
    3. force majeure, network attacks (e.g. DDoS) and internet failures outside the Provider’s server,
    4. suspension under these Terms or carrying out the Client’s instructions, including those given through the AI Agent.
  3. If availability in a month falls below 99.5%, the Client receives a credit on that month’s fee: 25% below 99.5%, 50% below 99% and 100% below 95%, if requested by e-mail within 30 days of the end of the month. Service credits are the Client’s sole and exclusive remedy for unavailability of the Website, except for damage caused intentionally or by gross negligence.
  4. The SLA does not cover the AI Agent, which relies on third-party services (Telegram, the AI-model provider). The Provider operates it with due care.
  5. Backups: the code and files of every published version of the Website are kept outside the server the Website runs on, and the Provider can restore any of them. The Client should keep its own copies of the materials it supplied.
  6. The Provider may change its infrastructure (e.g. server provider or location within the European Economic Area) if this does not reduce the quality of the Plan.

11. AI Agent

  1. The AI Agent accepts instructions only from the Telegram accounts named by the Client and only about the content and appearance of the Client’s Website (e.g. changing texts, prices, opening hours, images or adding news). New features, integrations and changes beyond content and appearance are priced individually.
  2. The limit is 100 messages to the AI Agent per calendar month; unused messages do not carry over. Once the limit is reached, the AI Agent may stop responding until the next month. The Provider may limit the number or size of files handled by the AI Agent if they endanger the Website or the server.
  3. The AI Agent is an artificial-intelligence system, not a human, and can make mistakes – misunderstand an instruction or make an unintended change. The Client checks every change on the Website and is responsible for content published on its instructions. On request, the Provider reverts any change made by the AI Agent to the previous version free of charge.
  4. The Client secures its Telegram account (e.g. with two-step verification) and does not share it with unauthorised persons. Instructions sent from an account named by the Client are deemed the Client’s instructions. The Client informs the Provider immediately if it loses control of an account; the Provider then blocks that account’s access to the AI Agent. The Provider never asks for Telegram passwords or login codes.
  5. It is prohibited to:
    1. send to the AI Agent, or have it publish, illegal content – in particular content infringing copyright, trademarks or personal rights, inciting hatred or violence, defamatory, misleading, pornographic, sexualising minors or promoting terrorism,
    2. use the AI Agent for purposes unrelated to the Client’s Website,
    3. attempt to circumvent the AI Agent’s safeguards or limits (e.g. jailbreaking, prompt injection) or to gain access to the server, other clients’ data or the instructions the AI Agent follows,
    4. send messages automatically (e.g. with scripts) or deliberately overload the AI Agent,
    5. send special categories of personal data (e.g. health data), passwords, payment card numbers, identity documents or malware.
  6. Conversations with the AI Agent are recorded: the Client’s messages and the AI Agent’s replies, uploaded files, the Telegram account ID and name, timestamps and the changes made to the Website. The Provider may review them – personally and with automated filters – to ensure security and compliance with these Terms, detect abuse and illegal content, fix errors, improve the AI Agent and establish, exercise or defend legal claims. Records are kept for 90 days or, where they relate to a reported violation, dispute or proceedings, until it is resolved. See the Privacy Policy for details.
  7. If the Provider considers that section 11.5 or section 12 has been breached, it may immediately stop an instruction, revert a change, remove or disable content or temporarily block the AI Agent for an account. Automated filters may stop an instruction; blocking an account or terminating the Contract is decided by a human. The Provider informs the Client by e-mail of the decision and its reasons (Article 17 DSA), unless the law prevents it, and of the right to appeal (section 12.4). For serious or repeated breaches it may terminate the Contract (section 14.4). The Provider may report content indicating a criminal offence to the competent authorities.
  8. The AI Agent uses the Telegram messenger and a third-party AI model. By using Telegram the Client accepts Telegram’s terms; messages pass through Telegram’s servers, and Telegram does not end-to-end encrypt conversations with bots. The Provider may change the AI-model provider or how the AI Agent works if this does not materially reduce its functions. If Telegram or the AI-model provider stops its service or materially changes its terms, the Provider may offer another channel, change the price under section 7.7 or terminate the AI Agent under section 14.2, moving the Client to the Hosting + domain Plan.

12. Content and illegal-content notices

  1. The Client is responsible for the content and materials on the Website that it supplied or had published; they must not be illegal (section 11.5(a) applies accordingly). The Client is also responsible for the legal obligations relating to its Website, in particular its company information and privacy policy; the Provider may place them on the Website based on the Client’s data but does not provide legal advice.
  2. The Provider provides a hosting service within the meaning of the DSA. Anyone may report illegal content on a Website, on the Provider’s server or in the AI Agent by e-mail to hello@neurabs.com. A notice should include: an explanation of why the content is illegal, the exact URL of the content, the name and e-mail address of the notifier (not required for notices of offences against children) and a statement that the notifier believes in good faith that the information in the notice is accurate and complete.
  3. The Provider acknowledges receipt, handles the notice without undue delay in a diligent, non-arbitrary and objective manner and informs the notifier of its decision. It may remove or disable access to content and, where necessary, temporarily block a Website. Decisions are taken by a human, sometimes assisted by automated tools. The Provider informs the Client of the decision and its reasons.
  4. The Client and the notifier may appeal a decision by e-mail within 6 months; the Provider handles appeals within 14 days. This does not affect recourse to the courts.
  5. The Client shall indemnify and hold the Provider harmless against third-party claims arising from content it supplied or had published, including damages awarded and reasonable defence costs such as legal fees, provided the Provider notifies it of the claim promptly and allows it to take part in the defence.

13. Liability

  1. To the extent permitted by law:
    1. the Provider is liable only for actual loss, not for lost profits, lost revenue, loss of data that can be restored from backups, or indirect or consequential damage,
    2. the Provider’s total liability for all claims relating to a Contract is limited to the net fees the Client paid under that Contract in the 12 months before the event that caused the damage,
    3. statutory warranty for defects (rękojmia) is excluded; this does not affect the free bug fixing in section 6.7.
  2. These limitations do not apply to damage caused intentionally or by gross negligence, or to personal injury.
  3. The Provider is not liable for damage resulting from the Client’s content, from carrying out the Client’s instructions as given (including through the AI Agent), from the Client losing control of its Telegram account or mailbox, from providers chosen by the Client, or from force majeure – unless the damage results from circumstances for which the Provider is responsible.

14. Term, termination and suspension

  1. The Client may terminate a Plan at any time by e-mail with one month’s notice, effective at the end of a calendar month. Upgrades take effect from the next month; downgrades require the same notice. If a Plan with a domain ends, sections 9.5 and 9.6 apply.
  2. The Provider may terminate a Plan, or the AI Agent alone, with three months’ notice. If only the AI Agent is terminated, the Client moves to the Hosting + domain Plan unless it terminates the Plan within 30 days at no cost.
  3. The Provider may suspend a Website or the AI Agent immediately and temporarily if this is necessary to prevent damage or a breach of law (e.g. the Website is infected, publishes manifestly illegal content or is the target of an attack that endangers others). It informs the Client promptly, giving the reason.
  4. The Provider may terminate a Contract with immediate effect if the Client, despite a warning by e-mail, does not stop a breach (no warning is needed if the breach is serious or cannot be remedied):
    1. it publishes or sends illegal content or materially breaches section 11.5 or section 12,
    2. it is more than 30 days late with payment (section 7.5),
    3. it uses the services in a way that endangers the security of the server, other clients or third parties.
  5. On the last day of a Plan the Website stops being served from the Provider’s server. Within 30 days of the end of the Plan the Client may request the Website files with source code – free of charge if it has paid the full Website price. After that the Provider deletes the Website and AI Agent data, except data it must or may keep under the law and its Privacy Policy.

15. Complaints

  1. Complaints – e.g. about the Website or a service not complying with the Contract, unavailability or billing – may be sent by e-mail with a description of the problem, its date and the expected solution. The Provider replies within 14 days.

16. Personal data and data processing (Article 28 GDPR)

  1. How the Provider processes personal data as a controller is described in the Privacy Policy.
  2. For personal data the Provider processes on the Client’s behalf when providing a Plan (e.g. data of people shown on the Website, third-party data in content supplied by the Client and in instructions to the AI Agent, technical data of Website visitors), the Client as controller entrusts the processing to the Provider (Article 28 GDPR) on these terms:
    1. subject and duration: hosting and publishing the Website, backups and handling instructions to the AI Agent – for the duration of the Plan and 30 days after it ends,
    2. nature and purpose: storage, publication and other technical operations needed to provide the Plan,
    3. types of data: identification and contact data, images, content and technical data (e.g. IP addresses) – as follows from the Website’s content and the Client’s instructions,
    4. categories of data subjects: the Client’s staff, collaborators, customers and business partners, Website visitors and other people whose data the Client places on the Website,
    5. the Provider processes the data only on the Client’s documented instructions – the Contract, these Terms and instructions sent by e-mail or to the AI Agent – ensures confidentiality and applies the measures under Article 32 GDPR: encrypted connections (HTTPS), server access limited to the Provider over an authenticated connection, security updates and backups,
    6. the Provider assists the Client, as far as possible and taking into account the nature of the processing, with data-subject requests and the obligations under Articles 32–36 GDPR, and notifies the Client of a personal data breach without undue delay and no later than 48 hours after becoming aware of it,
    7. the Client gives general authorisation for sub-processors: the server provider (OVHcloud, servers in the European Union), the code repository and deployment automation provider (GitLab) and, in the Plan with the AI Agent, the AI-model provider. The Provider imposes the same data protection obligations on them, informs the Client by e-mail of an intended change at least 14 days in advance, and the Client may object and terminate the Plan at no cost. Transfers outside the European Economic Area take place only with safeguards under Chapter V GDPR,
    8. by default the Provider’s server does not keep access logs with Website visitors’ IP addresses; where they are needed to fix a failure or ensure security, they are kept for no longer than 30 days,
    9. the Provider does not use Client data or AI Agent conversations to train AI models and uses AI-model providers that commit not to train models on the data sent to them,
    10. after the Plan ends the Provider deletes the data under section 14.5 unless the law requires it to be kept; it makes available the information needed to demonstrate compliance and allows audits – primarily through written answers to questions, and on-site audits with at least 14 days’ notice, no more than once a year, at the Client’s cost and preserving other clients’ confidentiality.
  3. The Client ensures it has a legal basis for the data it entrusts and fulfils its information obligations towards data subjects (e.g. through a privacy policy on the Website).
  4. When monitoring conversations with the AI Agent (section 11.6), the Provider acts as a separate controller, for the purposes set out in the Privacy Policy.

17. Security

  1. Online services carry risks such as malware, phishing by people impersonating providers, takeover of messenger or e-mail accounts and attacks on servers. The Client should use up-to-date software, strong passwords and two-step verification. The Provider never asks for passwords to Telegram, e-mail or banking; a message asking for them does not come from the Provider.

18. Changes to these Terms

  1. The Provider may change these Terms by notifying the Client by e-mail and on neurabs.com at least 30 days before the change takes effect (sooner if required by law or an authority, or if the change concerns security). A Client that does not accept a change may terminate its Plan at no cost with effect from the day before the change. Contracts for Websites concluded before a change are performed under the previous Terms.

19. Governing law and final provisions

  1. Contracts are governed by Polish law. Disputes are resolved by the court competent for the Provider’s place of business in Warsaw, Poland.
  2. If an Order and these Terms conflict, the Order prevails. If any provision is invalid, the remaining provisions stay in force.
  3. The parties communicate by e-mail at the addresses in the Order and inform each other of any change. A message is deemed delivered when it reaches the recipient’s mailbox in a way that allows it to be read.
  4. The Provider may transfer its rights and obligations under a Contract to an entity taking over its business (e.g. a company it sets up), with at least 30 days’ notice by e-mail; the Client may then terminate the Contract at no cost. The Client may not transfer its rights and obligations without the Provider’s consent.
  5. These Terms are drafted in English, which is the binding language for Contracts concluded through neurabs.com.
  6. These Terms are effective from 21 October 2026.
